Lee Company, Inc. (“Lee Company,” “Company,” “we,” “us,” or “our”) provides home maintenance services including HVAC, plumbing, and electrical inspection, maintenance, and repair services (“Services”) to residential customers through our Lee Company+ Membership (“Membership”). The specific inspection, maintenance, and diagnostic services included in your Membership are the “Membership Services.” All other work, including repairs, replacements, and installations quoted separately, are “Additional Services.” These Terms of Use (“Terms” or “Agreement”) govern your purchase and use of the Membership. By enrolling in a Membership, you accept these Terms of Use.

References to “you” or “Customer” in these Terms indicate the individual who enrolled in the Membership and whose payment method is charged. The Membership is offered by Lee Company, Inc., 4057 Rural Plains Circle, Franklin, TN 37064.

PLEASE READ THESE TERMS CAREFULLY. BY ENROLLING IN A MEMBERSHIP, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE LIMITATION OF LIABILITY IN SECTION 8 AND THE DISPUTE RESOLUTION PROVISIONS IN SECTION 9, WHICH INCLUDE A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND YOUR RIGHT TO OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS.

1. Membership

1.1 Enrollment and Renewal. Your Membership has an initial term of twelve (12) months and will automatically renew for successive terms of twelve (12) months until terminated in accordance with these Terms. No Membership term or renewal term will exceed twelve (12) months. To use the Membership, you must provide us with a valid Payment Method. “Payment Method” means a current, valid, accepted method of payment, including credit card, debit card, or bank account authorization for automatic draft. You must cancel your membership before it renews to avoid billing of the subscription fees for the next billing cycle (see Section 3.4 (Cancellation) and Section 3.8 (Auto-Renewal Disclosure) below).

1.2 Property-Specific Coverage. Memberships are limited solely to the specific property address identified at enrollment and are non-transferable. A separate Membership must be purchased for each property you wish to cover. If you sell, transfer, or otherwise dispose of the covered property, the Membership will terminate and cannot be transferred to the new owner or to a different property.

1.3 Service Territory. Services under the Membership are available only within Lee Company’s service territory in Tennessee, Alabama, Georgia, and Kentucky. We reserve the right to determine whether a property is within our service territory at our reasonable discretion.

1.4 Membership Options. We may offer multiple Membership options with varying coverage levels, visit frequencies, and pricing. The specific coverage, limitations, and conditions applicable to your Membership will be disclosed at enrollment and in your Membership confirmation. You can find details regarding your Membership by contacting our customer service team.

1.5 Age Requirement. You must be at least 18 years of age and the owner or authorized occupant of the covered property to enroll in a Membership.

2. Promotional Offers

We may from time to time offer special promotional offers, discounts, or incentives (“Offers”). Offer eligibility is determined by Lee Company at its sole discretion. We reserve the right to revoke an Offer if we determine you are not eligible. Customers with an existing or recent Membership may not be eligible for certain Offers. The eligibility requirements and other limitations will be disclosed when you sign up for the Offer. If an Offer includes a free trial or an introductory or promotional price, we will disclose to you clearly and conspicuously, before you are charged, the date the trial or promotional price ends, the price that will apply after that date, and how to cancel before that price takes effect.

3. Billing and Cancellation

3.1 Billing Cycle. The subscription fee for your Membership and any applicable taxes will be charged to your Payment Method according to your selected payment schedule (annual or monthly auto-draft). Subscription fees are fully earned upon payment. Contact customer service to view your billing information and next payment date.

3.2 Payment Methods. You authorize us to charge any Payment Method associated with your account if your primary Payment Method is declined or unavailable. You remain responsible for any uncollected amounts. If payment is not successfully processed due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your Membership benefits until we have successfully charged a valid Payment Method.

3.3 Updating Payment Methods. You may update your Payment Methods by contacting customer service. We may also update your Payment Methods using information provided by payment service providers. Following any update, you authorize us to continue charging the applicable Payment Method(s).

3.4 Cancellation. You may cancel your Membership at any time by providing written notice to: Lee Company, Inc., Attn: Lee Company+ Memberships, 4057 Rural Plains Circle, Franklin, TN 37064, or by calling our customer service line. Please allow reasonable time for processing of your cancellation request.

3.5 Cancellation Fees and Refunds.

(a) Direct Payment Plans: If you paid for your Membership in full at enrollment, you will be charged a $50 per unit cancellation fee. No Refunds. Payments are nonrefundable and there are no refunds or credits for partially used subscription periods. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period.

(b) Auto-Draft Payment Plans: If you are on a monthly auto-draft payment plan, you will be charged a $50 per unit cancellation fee, and there will be no refund of previously paid monthly fees. The cancellation fee will be drafted from your account no later than your next scheduled draft date. If you are on a monthly auto-draft plan, you may cancel at any time. Your Membership Services will continue through the end of the monthly period for which you have already been charged. If you received Membership Services during the current term at a discounted member price in consideration of a twelve (12) month commitment, we may charge the difference between the amount you have paid and the standard non-member retail price of the Membership Services actually delivered.

(c) At our sole discretion, we may waive cancellation fees or provide refunds or credits in specific circumstances. Any such accommodation does not obligate us to provide the same in future instances.

3.6 Unredeemed Visits. It is your responsibility to schedule and redeem all Membership visits before your Agreement expiration date. Any visits not redeemed before the Agreement expires will be forfeited and no refund will be provided for unredeemed visits.

3.7 Changes to Price and Memberships. We may change our Membership options and pricing from time to time. We will notify you at least thirty (30) days before any price increase or material change to your Membership becomes effective. If you do not wish to accept the change, you may cancel your membership before the change takes effect.

3.8 Auto-Renewal Disclosure. YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW AT THE END OF EACH TERM UNLESS YOU CANCEL, WHETHER YOU PAY ANNUALLY OR BY MONTHLY AUTOMATIC DRAFT.

4. Membership Services

4.1 Scope of Services. Your Membership includes the specific inspection, maintenance, and diagnostic Membership Services described in your Membership confirmation, and covers only the number and type of HVAC, plumbing, and electrical systems identified in that confirmation. Additional systems at the covered property may be added for an additional fee.

4.2 Inspection Limitations. CUSTOMER ACKNOWLEDGES AND AGREES THAT INSPECTIONS ARE LIMITED IN SCOPE AND DURATION AND ARE NOT COMPREHENSIVE EVALUATIONS OF ALL CONDITIONS WITHIN THE HOME OR ITS SYSTEMS. AN INSPECTION IN WHICH NO ISSUES ARE NOTED DOES NOT CONSTITUTE A GUARANTEE, REPRESENTATION, OR WARRANTY THAT NO ISSUES EXIST OR WILL ARISE THEREAFTER. Inspections are visual and operational assessments based on conditions reasonably observable at the time of service. Inspections do not include, and Lee Company makes no assessment of, concealed or inaccessible components, piping located underground or within a slab, sewer laterals or septic systems, structural conditions, code compliance, or the presence of mold, asbestos, lead, or indoor air quality hazards. An inspection under this Membership is not a home inspection under any state home inspector licensing statute, is performed solely for your benefit as a member, and may not be relied upon by any third party or used in connection with a real estate transaction.

4.3 Scheduling and Access. You are responsible for scheduling Membership visits and providing our technicians with reasonable access to the covered property and systems. You or an authorized adult (18 years or older) must be present during service visits unless other arrangements are made. We reserve the right to reschedule visits due to weather conditions, emergencies, or other circumstances beyond our reasonable control.

4.4 Additional Services and Repairs. Your Membership covers scheduled maintenance and inspection visits as described in your Membership documentation. Repairs, replacement parts, and additional services identified during Membership visits are not included in your Membership fee and will be quoted separately. Any quote provided by Lee Company is subject to modification prior to your acceptance. Once you accept a quote, you are responsible for payment for all work performed in reliance on your acceptance, including dispatch costs and restocking fees if applicable.

4.5 Pre-Existing Conditions. Customer acknowledges that repair and diagnostic services may require access cuts, disassembly, or other invasive procedures. Lee Company is not responsible for pre-existing damage, latent defects, or deterioration discovered during service. Restoration of surfaces, finishes, or structures beyond the immediate repair area (including but not limited to drywall, paint, flooring, or cabinetry) is not included unless specifically noted in the scope of work and priced accordingly.

4.6 Customer-Supplied Materials. Where you provide materials, equipment, or fixtures for installation, Lee Company makes no warranty as to the quality, fitness, or performance of such customer-supplied items. Our warranty, if any, is limited solely to the workmanship of installation. You assume all risk of defect, failure, or damage arising from customer-supplied materials.

4.7 Compliance with Laws. You agree to use the Membership services in accordance with all applicable laws, regulations, and local codes. You are responsible for obtaining any permits required for work performed at your property, unless Lee Company specifically agrees otherwise in writing.

4.8 Service Updates. We may update or modify the services included in Membership offerings from time to time. We will provide notice of any material changes to your specific Membership coverage.

4.9 Member Benefits. In addition to scheduled visits, your Membership may include priority scheduling, waiver or reduction of diagnostic fees, and a discount on Additional Services, as described in your Membership confirmation. Priority scheduling means that member requests are placed ahead of non-member requests in our dispatch queue; it is not a guaranteed response time. Any member discount may not be combined with other Offers or promotions, and is suspended while your account is past due.

4.10 Customer Indemnity. You agree to indemnify and hold Lee Company harmless from claims, damages, and costs arising out of (a) materials, equipment, or fixtures you supply under Section 4.6, (b) any material misrepresentation or omission by you regarding the condition of the covered property or its systems, and (c) the acts or omissions of other contractors or occupants at the covered property. This Section does not apply to claims arising from Lee Company’s own negligence or willful misconduct.

5. Account Responsibilities

5.1 Account Information. You agree to provide and maintain accurate information relating to your account, including valid contact information and the correct service address. You are responsible for ensuring we have current contact information to send account-related notices, including renewal reminders and service scheduling communications.

5.2 Authorization. By enrolling in a Membership with automatic payment, you consent and authorize Lee Company to draft from your designated account. This authorization remains in full force throughout the duration of this Agreement until we receive written notification of termination in such time and manner as to afford Lee Company and your financial institution a reasonable opportunity to act on it.

5.3 Account Security. You are responsible for maintaining the security of your account information. If you authorize others to access your account or make decisions regarding your Membership, you agree that such individuals are acting on your behalf and that you are bound by any changes they make to the account.

5.4 Communications, Consent, and Privacy. Our collection and use of your information is governed by the Lee Company Privacy Policy available at leecompany.com, which is incorporated into these Terms. By providing a telephone number, you agree that Lee Company and those acting on its behalf may contact you at that number regarding scheduling, service, billing, and your account, including by automatic telephone dialing system, prerecorded or artificial voice, and text message. Calls with our customer service and dispatch teams may be monitored or recorded for quality and training purposes.

6. Warranty

6.1 Workmanship Warranty. Lee Company warrants its workmanship for a period of one (1) year from the date of service completion for a period of one (1) year from the date on which the particular service giving rise to the claim was completed. This warranty covers defects in the labor and installation services performed by Lee Company technicians.

6.2 Warranty Exclusions. This warranty does not cover damage caused by: (a) misuse, neglect, or failure to perform routine maintenance; (b) acts of God, including but not limit ed to floods, earthquakes, lightning, or severe weather events; (c) modification, alteration, or repair by parties other than Lee Company; (d) normal wear and tear; (e) conditions beyond Lee Company’s reasonable control; (f) your failure to authorize a repair or replacement that Lee Company identified and recommended to you in writing following a prior inspection or service visit, where that failure caused or contributed to the damage; or (g) parts, equipment, or materials, which are covered solely by the applicable manufacturer warranty as described in Section 7.2.

6.3 Exclusive Warranty. THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. Some states do not allow limitations on implied warranties, so this limitation may not apply to you.

6.4 Right to Cure. Lee Company shall have the right to cure any alleged breach of warranty or defect in workmanship. If you believe Lee Company has breached this warranty, you must provide written notice describing the alleged breach. Lee Company shall have ten (10) business days from receipt of such notice to inspect the alleged breach and commence a cure, and shall thereafter diligently pursue the cure to completion, before you pursue any other remedy. Nothing in this Section requires you to delay in the case of an emergency condition presenting a risk to persons or property.

7. Disclaimers

7.1 Service Availability. While we strive to provide prompt and reliable service, we do not guarantee uninterrupted availability of services. Service scheduling is subject to technician availability, and response times may be affected by high demand periods, weather conditions, or other factors beyond our reasonable control.

7.2 Third-Party Products. Lee Company does not manufacture HVAC equipment, plumbing fixtures, electrical components, or other products that may be installed or serviced under your Membership. Manufacturer warranties are separate from and in addition to Lee Company’s workmanship warranty. Lee Company makes no representations or warranties regarding third-party products beyond any applicable manufacturer warranty.

7.3 No Professional Advice. Information and recommendations provided by Lee Company technicians are based on their professional assessment of your systems at the time of service. Such recommendations do not constitute engineering, architectural, or other professional advice requiring licensure beyond HVAC, plumbing, or electrical contractor licensing. Lee Company does not warrant or represent that any inspection, maintenance, repair, or equipment will produce any particular level of energy savings, utility cost reduction, equipment life, or system performance. Any estimate of savings is an estimate only and depends on factors outside Lee Company’s control.

8. Limitation of Liability

8.1 Consequential Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICES PROVIDED HEREUNDER, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF LEE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Limitation on Recovery. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO THE EXCEPTIONS STATED IN THIS SECTION, LEE COMPANY’S TOTAL LIABILITY FOR ECONOMIC LOSS ARISING FROM OR RELATED TO THIS AGREEMENT, THE MEMBERSHIP SERVICES, OR ANY ADDITIONAL SERVICES SHALL BE LIMITED TO DIRECT ACTUAL DAMAGES, TAKING INTO ACCOUNT ANY APPLICABLE MITIGATION AND DEPRECIATION, AND SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LEE COMPANY FOR THE MEMBERSHIP AND FOR THE ADDITIONAL SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) THE REASONABLE COST TO REPAIR OR REPLACE THE SYSTEM ON WHICH LEE COMPANY PERFORMED THE WORK GIVING RISE TO THE CLAIM.

8.3 Statutory Rights. Nothing in these Terms shall affect any non-waivable statutory rights that apply to you under the laws of your state of residence. Some states do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

9. Dispute Resolution

9.1 Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to contact Lee Company and attempt to resolve any dispute informally. You may contact us at: Lee Company, Inc., Attn: Customer Relations, 4057 Rural Plains Circle, Franklin, TN 37064, or by calling our customer service line. We will attempt to resolve your concern within thirty (30) days of receipt of your written complaint.

9.2 Binding Arbitration. If we cannot resolve a dispute informally, you and Lee Company agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted in Williamson County, Tennessee, unless you and Lee Company agree otherwise. The arbitrator’s decision shall be final and binding, except as provided by applicable law.

9.3 Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies for small claims court jurisdiction in your state of residence or Williamson County, Tennessee.

9.4 Class Action Waiver. YOU AND LEE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. This waiver does not apply if you opt out of arbitration under Section 9.7.

9.5 Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND LEE COMPANY EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT.

9.6 Arbitration Fees. If you initiate arbitration, Lee Company will reimburse your filing fee for claims under $10,000. For claims over $10,000, filing fees shall be allocated as provided by the AAA Rules. Lee Company will also pay the arbitrator’s fees and any AAA administrative fees for claims under $10,000. Each party shall bear its own attorneys’ fees, except that (i) the arbitrator may award you attorneys’ fees where authorized by applicable law, and (ii) the arbitrator may award Lee Company attorneys’ fees only upon a finding that your claim was brought for an improper purpose or was frivolous under the standard of Rule 11 of the Federal Rules of Civil Procedure. This Section does not limit Lee Company’s right to recover collection costs under Section 10.3.

9.7 Your Right to Opt Out of Arbitration. You may opt out of this arbitration provision, including the class action waiver in Section 9.4, by sending written notice within thirty (30) days after you first enroll in a Membership to: Lee Company, Inc., Attn: Legal Department – Arbitration Opt-Out, 4057 Rural Plains Circle, Franklin, TN 37064. Your notice must include your name, the address of the covered property, and a statement that you do not wish to resolve disputes through arbitration. Opting out will not affect your Membership or any other term of this Agreement.

9.8 Coordinated Claims. If twenty-five (25) or more claimants file arbitration demands against Lee Company raising substantially similar claims and represented by the same or coordinated counsel, the demands will be administered in sequential batches of no more than twenty-five (25). Each batch will be assigned to a single arbitrator, and the parties will treat the resolution of each batch as informing the resolution of the remaining demands. Filing and arbitrator fees will be assessed batch by batch rather than for all demands at once. All applicable limitations periods are tolled as to demands awaiting a later batch.

9.9 Survival. This arbitration provision, and Sections 6 (Warranty), 8 (Limitation of Liability), 10 (Payment and Collections), and 11 (General Provisions), shall survive termination of this Agreement and the termination of your Membership.

10. Payment and Collections

10.1 Payment Obligation. You agree to pay all amounts due under this Agreement and for any additional services you authorize. Failure to pay may result in suspension of Membership benefits, termination of your Membership, and collection action.

10.2 Lien Rights. NOTICE: FAILURE TO PAY FOR SERVICES OR MATERIALS PROVIDED BY LEE COMPANY MAY GIVE RISE TO A MECHANIC’S LIEN OR OTHER ENCUMBRANCE AGAINST YOUR PROPERTY UNDER APPLICABLE STATE LAW.

10.3 Collection Costs. In the event of non-payment, you agree to pay all reasonable costs incurred by Lee Company in collecting amounts due, including but not limited to collection agency fees and, to the extent permitted by law, reasonable attorneys’ fees and court costs. Notwithstanding Section 9.6, Lee Company may recover its reasonable attorneys’ fees and costs incurred in collecting amounts you owe and do not dispute in good faith.

11. General Provisions

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of laws principles. These terms will not limit any consumer protection rights you may be entitled to under the mandatory laws of your state of residence.

11.2 Entire Agreement. This Agreement, together with your Membership enrollment documentation, constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings relating to the subject matter hereof. Except as expressly provided in Sections 3.7 and 11.8, this Agreement may not be modified except by a written document signed by both parties.

11.3 No Waiver. No waiver by Lee Company of any provision of this Agreement is effective unless explicitly set forth in writing and signed by Lee Company. No failure or delay by Lee Company in exercising any right or remedy shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof.

11.4 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect any other provision, and the remaining provisions shall continue in full force and effect. If the class action waiver in Section 9.4 is found unenforceable as to any claim or any request for particular relief, then that claim or request shall be severed from the arbitration and litigated in a court of competent jurisdiction, and all other claims shall remain in arbitration and shall be resolved before the severed claim proceeds. The remainder of Section 9 shall remain in full force and effect. If any provision of Section 8 is held unenforceable, it shall be reformed to the minimum extent necessary to be enforceable and shall otherwise remain in effect. The remaining provisions of this Agreement shall remain in effect.

11.5 Assignment. You may not assign or transfer this Agreement or your Membership without Lee Company’s prior written consent. Lee Company may assign this Agreement to any affiliated company or to any entity that acquires all or substantially all of Lee Company’s business or assets. No assignment by Lee Company requires your consent, and no assignment gives rise to any right of cancellation or refund.

11.6 Force Majeure. Lee Company shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, equipment failures, power outages, or strikes.

11.7 Electronic Communications. You agree that we may send you notices, disclosures, and other communications electronically to the email address or phone number you provide. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

11.8 Changes to Terms. Lee Company may modify these Terms from time to time. Material revisions will be effective thirty (30) days following notice to you, unless otherwise required by law. Your continued use of Membership services after the effective date of any modification constitutes your acceptance of the modified Terms.

11.9 Notices. Notices from Lee Company to you may be given by mail to the address of the covered property, by email to the email address on file, or by text message to the telephone number on file, and are deemed received on the date sent for email and text message and three (3) business days after deposit in the mail. You are responsible for keeping your contact information current under Section 5.1. Notices from you to Lee Company must be given as provided in Sections 3.4 and 11.12.

11.10 Order of Precedence. These Terms govern your Membership. A signed work authorization, quote, or contract for Additional Services governs the scope, price, and schedule of that specific work. In the event of a conflict, the work authorization controls as to that work, except that Sections 8 (Limitation of Liability) and 9 (Dispute Resolution) of these Terms control unless the work authorization expressly states otherwise and is signed by an authorized officer of Lee Company.

11.11 Termination by Lee Company. Lee Company may terminate your Membership on thirty (30) days’ written notice for any reason, and immediately on notice if (a) you fail to pay amounts due and do not cure within ten (10) days after notice, (b) you or an occupant of the covered property threatens, harasses, or endangers a Lee Company employee, (c) conditions at the covered property are unsafe and are not corrected under Section 4.10, (d) you repeatedly fail to provide access (e) you have made a material misrepresentation in connection with the Membership, or (f) the covered property is no longer within Lee Company’s service territory. On termination without cause, we will refund the unused portion of your Membership fee calculated under Section 3.5(b). On termination for cause under clauses (a), (b), (c), (d) or (e), no refund is due.
